The UnitedHealthcare Global Intelligence Center

For the UnitedHealthcare Global Intelligence Center (the "Global Intelligence Center") and all on-line products and tools to which You may have access within the Global Intelligence Center, and regardless of whether the Global Intelligence Center is co-branded with your organization’s identity or not, You will be obligated to abide by the following Terms of Use (see below). These terms shall be applicable to products and tools including, but not limited to, the following:

  • Medical Intelligence Reports
  • WorldWatch
  • Airline Risk Rating
  • Intelligence Alerts
  • Evacuation Notification
  • Travel Security Manager
  • Daily Security Alerts

Terms of Use

"You/Your" – the User – shall mean the individual whose organization or entity has entered into a Participation Agreement or Services Agreement (the "Agreement") with UnitedHealthcare Global, or any affiliated companies ("UnitedHealthcare Global"). During the term of the Agreement between Your organization or entity and UnitedHealthcare Global, You will have access to certain proprietary UnitedHealthcare Global information at such times as this information (hereinafter, the "Data") is generally available for You. "You" shall include individuals who are eligible to receive UnitedHealthcare Global services and, therefore, authorized to access the products and tools and Data under the Agreement. "Data" shall include any additions or improvements made to the Data by UnitedHealthcare Global in the future. As a condition precedent to accessing and using the Data, You must read this User Agreement and agree to be bound by its terms and conditions at any time that You access and use the Data, regardless of whether this User Agreement is resubmitted to You for Your acknowledgement and acceptance.

Limited License. During the term of the Agreement, UnitedHealthcare Global grants You a non-exclusive, non-transferable, limited license to the Data (hereinafter referred to as the "License"). Such License permits Member to access the Data. Except as otherwise provided herein, such License includes the right to download and temporarily store insubstantial portions of Data ("Downloaded Data") to a storage device under Your exclusive control, and to (i) display internally such Downloaded Data, and (ii) quote from such Downloaded Data (appropriately cited and credited) in memoranda, reports, and similar work product created by You. You may create printouts of Data for Your use and for distribution to other individuals provided that such individuals are eligible to receive UnitedHealthcare Global services and shall not further distribute the printouts. You may also upload and store approved document types as well as personal information within certain products. Neither the Data nor any portion thereof may be copied, downloaded, stored, published, transmitted, transferred, sold or otherwise used, in any form or by any means, except as expressly provided herein or with UnitedHealthcare Global's prior written permission. You shall not sell or license the Data (including printouts and Downloaded Data) to third parties or use Data as a component of or as a basis for any material offered for sale or license. You shall be responsible for compliance with (a) the terms and provisions of the License granted herein. Specifically, You shall be responsible for ensuring that You do not misuse the Data or Downloaded Data or violate any of the terms and provisions of the License, and You grant UnitedHealthcare Global or its designee the right to inspect upon reasonable notice and during regular business hours, Your relevant records to verify compliance with this License. Except as expressly provided herein, all right, title and interest in and to the products, tools, software programs, and the Data and Downloaded Data, generally, in all languages and media throughout the world, are and shall continue to be the exclusive property of UnitedHealthcare Global. You shall not, by virtue of this Agreement, acquire any proprietary interest in these products, tools, programs and the Data or Downloaded Data, generally, or in any materials included therewith.

Personal Health Information ("PHI"). All PHI, including but not limited to Data entered by You into Travel Registry, should You have access to the product, will be stored and used in accordance with all Health Insurance Portability and Accountability Act of 1996 ("HIPAA") requirements.

Third-Party Content and Information. The Global Intelligence Center may contain Data that is provided by third parties. You should be aware that the Data might contain errors, omissions, inaccuracies, outdated information, and inadequacies and that the Data may be subject to terms and conditions, which may be found on the Web Sites or in the documents and policies of those third parties. We make no representations or warranties as to the completeness, accuracy, adequacy, currency or reliability of any Data and will not be liable for any lack of the foregoing. You agree that UnitedHealthcare Global will not be responsible or liable for any loss or damage of any sort incurred as the result of using third party Data on the Global Intelligence Center.

Descriptions of, or references to, third party products, services or publications within the Global Intelligence Center do not imply endorsement of that product, service or publication.

Indemnification. You shall defend, indemnify and hold UnitedHealthcare Global harmless from and against any and all losses, demands, suits, judgments, costs, damages (including compensatory or punitive damages), expenses (including attorneys’ fees and costs of litigation), and any other liabilities of any nature (hereinafter referred to as a "Claim" or "Claims"), regardless of whether the Claim is founded or unfounded, arising out of or from, resulting from, connected with, or in any way relating to a breach of the terms of the License by You or any third party that gains access to the Data from You. UnitedHealthcare Global shall defend, indemnify and hold You harmless from and against any and all Claims, regardless of whether the Claim is founded or unfounded, arising out of or from, resulting from, connected with, or in any way relating to any act or omission of UnitedHealthcare Global that results in a Claim against You where there are no independent grounds for liability on the part of You or Your employees.

Disclaimer of Warranties. THE DATA FURNISHED BY UNITEDHEALTHCARE GLOBAL TO YOU IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF PERFORMANCE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOUR EXCLUSIVE REMEDY AND UNITEDHEALTHCARE GLOBAL'S ENTIRE LIABILITY HEREUNDER FOR ANY CLAIM(S) MADE AGAINST UNITEDHEALTHCARE GLOBAL, INDIVIDUALLY OR JOINTLY, FOR DAMAGES, INCLUDING ANY CLAIM(S) FOR PROPERTY DAMAGE OR PERSONAL INJURY, ALLEGEDLY CAUSED BY THE DATA OR DOWNLOADED DATA, REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN NEGLIGENCE OR IN CONTRACT, FOR WHICH UNITEDHEALTHCARE GLOBAL SHALL BE LEGALLY LIABLE SHALL BE LIMITED TO THE AMOUNT OF FEES PREVIOUSLY PAID BY YOU, NOT TO EXCEED SIX MONTHS’ WORTH OF SUCH ANNUAL FEES. IN NO EVENT SHALL UNITEDHEALTHCARE GLOBAL BE LIABLE TO YOU FOR ANY CLAIM(S) RELATING IN ANY WAY TO YOUR INABILITY OR FAILURE TO PERFORM INTELLIGENCE OR OTHER WORK PROPERLY OR COMPLETELY OR FOR MATTERS RELATING TO YOUR HEALTH OR WELL-BEING OR FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES RELATING IN WHOLE OR IN PART TO YOUR USE OF, OR INABILITY TO USE, THE DATA OR DOWNLOADED DATA, EVEN IF UNITEDHEALTHCARE GLOBAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNITEDHEALTHCARE GLOBAL DOES NOT GUARANTEE THE CORRECTNESS OR COMPLETENESS OF THE DATA OR DOWNLOADED DATA. UNITEDHEALTHCARE GLOBAL SHALL NOT BE RESPONSIBLE FOR OR HAVE ANY LIABILITY FOR ANY INJURIES OR DAMAGES CAUSED BY ERRORS, INACCURACIES, OMISSIONS OR ANY OTHER FAILURE IN THE DATA OR DOWNLOADED DATA, FROM WHATEVER CAUSE. Limitation of Claims. Except for claims relating to the UnitedHealthcare Global fees or improper use of the Data and Downloaded Data, no claim, regardless of form, which in any way arises out of this Agreement or the use of, or inability to use, the Data or Downloaded Data, may be made, nor action based upon such claim brought, by either party hereto, more than one (1) year after the basis for the claim becomes known (or should have become known) to the party desiring to assert it.

Choice of Law. This License shall be construed and interpreted in accordance with the laws of the State of Maryland without reference to its conflict of laws provisions.

The terms of this Agreement are subject to change without notice to You.
